Dealership & Distributor Policy

1. Purpose
This Dealership & Distributor Policy (“Policy”) sets out the commercial and legal terms that apply to authorized distributors, dealers, channel partners, and resellers (“Distributor”) of Shreesha Tech products and solutions, including PDLC smart film, smart glass, privacy film, controllers, and related accessories (“Products”).
2. Eligibility & Onboarding
- Distributor must be a legally registered business entity and provide valid GST and KYC details.
- Distributor must have relevant industry capability (glass, interiors, construction, electrical/automation, or similar).
- Distributor may be required to complete product training and installation orientation.
- Shreesha Tech reserves the right to approve or reject applications and to update onboarding requirements from time to time.
3. Appointment, Territory & Non-Exclusivity
Unless expressly agreed in writing, all appointments are non-exclusive. Territory coverage, if mentioned, is a sales/servicing guideline and not an ownership right. Shreesha Tech may appoint multiple Distributors in the same city/state.
4. Pricing, Quotes & Margin
- All pricing is subject to change based on raw materials, customization, printing, and project scope.
- Distributor discounts/margins may vary by volume, product type, and payment terms.
- Quotes must be shared with the end customer only after confirming availability, lead time, and specifications.
- Distributor must not misrepresent pricing as “fixed” where customization/printing/controls may alter the final cost.
5. Orders, Payment Terms & Credit
- Standard terms are advance payment unless agreed otherwise in writing.
- Any credit terms, if approved, are subject to limits and may be withdrawn at any time.
- Delay in payment may result in order hold, suspension of dispatch, or termination of authorization.
- All bank charges, taxes, and statutory duties (as applicable) are borne as per invoice/quote.
6. Product Specifications & Installation Responsibility
- Distributor must ensure correct measurement, wiring requirements, and site readiness before installation.
- If a third party performs installation, Distributor is responsible for ensuring compliance with Shreesha Tech’s recommended procedures.
- Incorrect measurements, mishandling, or improper installation may void warranty.
7. Branding, Marketing & Representation
- Distributor may use Shreesha Tech brand assets only for promoting authorized Products.
- Do not claim exclusivity, government affiliation, or certifications unless provided in writing.
- Do not publish misleading claims about performance, lifespan, pricing, or “guaranteed” outcomes.
- All digital ads/landing pages must be truthful and comply with applicable advertising laws.
8. Customer Support, Warranty & Returns
Warranty terms depend on product type and project conditions and may be provided with the invoice or purchase agreement. Distributor must follow the official warranty process:
- Collect invoice details, serial/identification (if applicable), photos/videos of the issue, and installation notes.
- Raise a support request with Shreesha Tech and allow diagnostic steps.
- No replacement/refund is guaranteed unless confirmed by Shreesha Tech after verification.
- Returns are accepted only with prior written approval and may be subject to inspection/restocking conditions.
9. Compliance & Ethics
- Distributor must comply with all applicable laws (tax, consumer, labor, safety, data protection).
- No bribery, kickbacks, or unethical practices in procurement or sales activities.
- Distributor must maintain confidentiality of trade pricing and internal documents.
10. Term, Suspension & Termination
Shreesha Tech may suspend or terminate authorization immediately if Distributor violates this Policy, misrepresents the brand, fails to pay dues, or causes reputational harm. Upon termination, Distributor must stop using Shreesha Tech branding and marketing materials.
11. Limitation of Liability
To the maximum extent permitted by law, Shreesha Tech is not liable for indirect, incidental, or consequential damages arising from Distributor’s sales, installation, site conditions, or third-party execution. Total liability, if any, is limited to the invoiced value of the affected Products.
12. Governing Law & Dispute Resolution
This Policy is governed by the laws of India. Any disputes are subject to the jurisdiction of competent courts in Gujarat, India, unless otherwise agreed in writing.
